  1. Introduction and Implied Agreement to Terms of Use:

Welcome to Parables TV (the “Site”) provided by Parables HD, LLC (“Parables”). Parables TV and/or its affiliates provide streaming services to you subject to the following conditions. If you visit or use features from this site (“Site”), including registering to the online, free and subscription-based streaming service, depending on the service you register for, providing faith-based and family-friendly movies, short films, documentaries, series, specials and original programming, including Live stream channel, subscription video on demand (“SVOD”) and free video on demand content (“TVOD”) owned and operated by Parables HD, LLC, (the “Service”), you expressly accept these terms and conditions (“Terms of Use”). Please read them carefully. In addition, when you use any current or future service or business via a link from the Site, you also will be subject to the guidelines, terms and agreements (“Third Party Terms”) applicable to such service or business. If these conditions are inconsistent with such Third Party Terms, the Third Party Terms will control. For absence of doubt, by using this site, and any of its affiliated sites and/or subdomains, you agree to our Terms of Use and Policies, including our Privacy Policy, as each are posted on this site.

Parables reserves the right to modify the terms and conditions of this Agreement or to change, modify, or otherwise alter any feature of the Service and/or the Site at any time and in its sole discretion. Changes to this Agreement may be communicated to you by making the revised Agreement available for your review on the Service and/or the Site.

  1. Eligibility:

To be eligible to use the Service, you must meet the following criteria (the “Eligibility Criteria”):

  • You must reside in the fifty (50) states fo the United States of America (“U.S.”), the District of Columbia, and U.S. territories and possessions around the world (the “Territory”); and
  • Have reached the age of 18, or the legal age of majority in your state or territory of residence.

 

Limited License to Access and Use Parables TV:

Parables.TV grants you a limited license to access and make personal use of this site and not to download (other than page caching) or modify it, or any portion of it, except with express written consent of Parables.TV. This license does not include any resale or commercial use of this site or its contents; any collection and use of any product listings, descriptions, or prices; any derivative use of this site or its contents; any downloading or copying of programming content; or any use of data mining, robots, or similar data gathering and extraction tools. Parables.TV reserves the right, but undertakes no duty, in its sole discretion, with or without notice, to change, modify, alter or update the Conditions of Use and Polices, the Site, the Service, contents, any features, functionality, and/or content available on or through the Site or Service in part or in whole, at any time. Your use and/or continued use of Parables.TV and/or its affiliated sites and/or subdomains after notice of such modifications, alterations or updates, shall indicate your consent and agreement to be bound by the revised terms.

You shall ensure that all equipment, hardware, software, products and/or services you use to access, visit, or use the Service does not disturb or interfere with our operation of the Site or the Service, or impede or interfere with others’ access, visitation and /or use of the Site or Service. We reserve the right, in addition to our other remedies, with or without notice, to immediately terminate your access to the Site or Service from any equipment, hardware, software, product and /or services, including IP addresses, causing interference with us, our licensors, vendors, service providers, the Site, the Service or any content contained on the Site or in the Service.

Unless otherwise permitted and specified by you, the Service is for your personal, non-commercial use only. You are solely responsible for all usage of, or activities on, the Site or Service by you, and those you authorize or allow to use, or provide access to, the Site and Service. You may not make any commercial, advertising, promotional or marketing use of the Site or the Service and/or its contents except as permitted by Parables.TV, the owner of the content, or except as permitted under the Copyright Act or other law or as expressly permitted in writing by the Agreement, us or the Service. You must comply with all local, state, federal, provincial, national, international, and or foreign laws, rules, and regulations in accessing and using the Site and Service and will immediately notify us as indicated below if you learn of or suspect a security breach or any illegal activity in connection with the Site or the Service.

Parables reserves the right to change the price for the Service in its sole discretion and will communicate any price changes to you in accordance with the law.

You can cancel your paid subscription at any time. REFUNDS WILL NOT BE PROVIDED FOR ANY SUBSCRIPTION. WE DO NOT PROVIDE CREDIT, REFUNDS, OR PRORATED BILLING FOR SUBSCRIPTIONS THAT ARE CANCELLED MID-MONTH FOR MONTHLY SERVICE PLANS OR AT ANY TIME AFTER REGISTERING FOR AN ANNUAL SERVICE PLAN. In such a circumstance, you will have access to the Service and/or Site until the end of your billing cycle. If you do not wish for your subscription to continue, sign into your account and follow the instructions to cancel your subscription. If you do not cancel your membership Parables.TV will charge your credit card in the amount of the subscription plan you chose during registration. You can easily upgrade and downgrade your subscription at any time PARABLES.TV DOES NOT SEND REMINDERS AS TO WHEN THE YOUR PLAN PERIOD ENDS. YOU ACCEPT, ACKNOWLEDGE AND AGREE THAT YOU ARE SOLEY RESPONSIBLE FOR CANCELING YOUR SUBSCRIPTION PRIOR TO THE CONCLUSION OF YOUR SERVICE PLAN PERIOD IF YOU DO NOT WANT YOUR CREDIT CARD TO BE CHARGED.

If your question is related to a copyright infringement, please also include a document identifying the copyrighted work that is claimed to be infringing or to be the subject of the infringing activity, the nature of the infringement which you believe is occurring, along with a physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

Use of Parables HD, LLC and Parables.TV Intellectual Property, Including Third Party Intellectual Property Including on the Site and in the Service: The contents of all material available on the Site – including, but not limited to photos, images, text, music, videos, podcasts, video programming, trademarks, trade names, service marks and other brand identifiers, the organization, design, compilation, and “look and feel” of the Site and the Service, including advertising, graphics, logos, icons, images, audio and/or video clips, digital downloads, data compilations, the compilation of materials on this site and software (“Intellectual Property”) are subject to protection under local, state, federal, provincial, national, international and foreign laws related to copyright, patent or trademark, either owned by (i) by Parables HD LLC., or (ii) through a valid license to use such Intellectual Property by a third party who owns such rights; or (iii) as otherwise indicated. These materials may not be reproduced, copied, distributed, displayed, published, transmitted, adapted, edited or downloaded in any way without the express written permission of Parables TV.

Certain content on the Site, such as on the Service, may be available to you for download, installation, and/or streaming (each to the extent applicable and expressly indicated) on your computer, mobile or other device, via technologies and products of third party licensors, vendors and/or service providers, and is subject to the same terms, conditions, limitations and restrictions applicable to the content provided by Parables TV and/or expressly indicated. You must, in addition to all of your other obligations hereunder, use such content only to the extent expressly authorized for the particular content, and you may not use the content in a manner that exceeds such authorization.

  1. Termination or Suspension of the Site or the Service, Your Use of the Service, and/or the Agreement:

We reserve the right, in addition to any other remedy available to us, to terminate, discontinue, suspend and/or restrict your access and use the Site and the Service or any portion thereof, and/or the Agreement, including without limitation any of our purported obligations hereunder, for any breach of this Agreement, with or without notice. You are responsible for all users who access your account.

  1. Copyrights and Trademarks:

The Service and/or the Site, and all material incorporated in the Service and/or the Site (including but not limited to text, photographs, graphics, video and audio) are protected by copyrights, trademarks, trade secrets or other proprietary rights under the laws of the U.S. and other countries. Use of the Service and/or the Site is for private use only and not for public exhibition. Unauthorized copying, editing, exhibition, broadcast or distribution of a copyrighted program can result in severe criminal and civil penalties under U.S. laws. As of the publication of this Agreement, criminal copyright infringement, including without monetary gain, is investigated by the FBI and is punishable by up to five (5) years in prison and a fine of $250,000.

Use of any of the trademarks contained in the Service and/or the Site are the property of the registered owner and use of the trademarks is strictly prohibited in any manner and for any purpose.

  1. Restrictions on Use of Materials:

(a) You may not copy, reproduce, distribute, transfer, sell, license, publish, enter into a database, display, perform publicly, modify, create derivative works, upload, edit, post, link to, frame, transmit, rent, lease, lend or sublicense or in any way exploit any part of the Service and/or Site, or attempt to interfere with the operation of the Service and/or the Site in any way. Prohibited activities also include decompiling, reverse engineering, disassembling or otherwise reducing the code used in any software or digital rights management feature on the Service and/or the Site.

  1. Indemnity:

You agree to indemnify and hold harmless Parables and its parent company, Olympusat, Inc., and their respective directors, officers, shareholders, parents, agents, and licensors (collectively “Indemnified Persons”) from and against all losses, expenses, damages and costs, including reasonable attorney’s fees, resulting from your breach of any of the provisions, representations, or warranties herein this Agreement and/or from your placement or transmission of any content onto the Service’s servers, and/or from any and all use of your account in violation of this Agreement or the failure to fulfill any obligations related to your account. We reserve the right to take over any claim for which we are entitled to indemnification under this Section 9. In such event you shall provide us with such cooperation as is reasonably requested by us.

  1. Disputes:

YOU AND PARABLES TV AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Parables HD, LLC is a United States company organized under the laws of the State of Florida. Those who chose to access the Site and use the Service anywhere in the world acknowledge, accept and agree that such access and use is on their own initiative. We make no representation, warranty, or guarantee that the Site or the Service, or any content thereon, are appropriate, available or legal in any particular geographic location outside the United States. Any dispute or claim relating in any way to your visit to Parables TV or to products or services sold or distributed by Parables TV or through Parables TV will be resolved by your first contacting us as set forth below and make a good faith sustained effort to resolve the dispute before resorting to more formal means of resolution, including without limitation any court action. In the event we cannot resolve the dispute between us, we each agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated or representative action. If for any reason a claim proceeds in court rather than in arbitration we each waive any right to a jury trial. Notwithstanding anything to the contrary herein, Parables TV may bring suit in court to enjoin infringement or other misuse of intellectual property rights, and misuse of the Site.

There is no judge or jury in arbitration, and court review of an arbitration award is limited. In any dispute between us, whether resolved between us or via arbitration, your sole remedy is to stop using the Site and the Service if applicable. To the extent any award or judgment is granted in your favor, it shall be limited to actual out of pocket damages, excluding attorneys’ fees, and shall not include any indirect, punitive, incidental and/or consequential damages. The arbitration will be conducted by the American Arbitration Association (AAA) under its rules, including the AAA’s Supplementary Procedures for Consumer-Related Disputes. The AAA’s rules are available at www.adr.org or by calling 1-800-778-7879. Payment of all filing, administration and arbitrator fees will be governed by the AAA’s rules. Likewise, Parables TV will not seek attorneys’ fees and costs in arbitration unless the arbitrator determines the claims are frivolous. You may choose to have the arbitration conducted by telephone, based on written submissions, or in person in the United States in a location as determined by the AAA’s rules. If for any reason any provision of the Agreement, or portion thereof is determined by a court of competent jurisdiction to be invalid or unenforceable, that provision or portion will be enforced to the maximum extent permissible, and the remainder of the Agreement will continue to be valid and enforceable in full force and effect.

To notify Parables TV of any dispute, you must send a letter requesting describing your dispute to our registered agent as follows: Chris Williams, Registered Agent of Parables HD, LLC, 477 S. Rosemary Ave, Suite 306, West Palm Beach, Florida 33401.

  1. Force Majeure:

Parables shall not have any liability to you by reason of any delay or failure to perform any obligation hereunder if the delay or failure to perform is occasioned by force majeure, which shall refer to any act of God, storm, fire, casualty, unanticipated work stoppage, power outage, satellite failure, strike, lockout, labor dispute, civil disturbance, riot, war, national emergency, Governmental action, or other cause beyond its control.

  1. Applicable Law:

By visiting Parables TV, you agree to accept the laws of the United States, in particular, the State of Florida, without regard to principles of conflict of laws, will govern these Terms of Use and any dispute of any sort that might arise between you and Parables.TV.
